(二) 甲方安排乙方所从事的工作内容及要求,应当符合国家规定的劳动基 准和甲方依法制定的并已公示的规章制度。

乙方应当按照甲方安排的工作内容及 要求履行劳动义务。

(2)The content and requirement of work arranged by party A to party B should be in accordance to the basic labor standard of government and regulation which is legally drafted and publicly announced by Party A. (三) 甲乙双方约定劳动合同履行地:

(3)Both Parties confirm the place to implement the contract will be: (四) 。 (4) 三、工作时间和休息休假 3 Article 3 Working Hours, Rest and Leaves (一) 甲乙双方经协商确认执行下列 条款,乙方工作时间平均每周不 超过四十小时,甲方应当保证乙方每周至少休息一日。

(1) Through negotiation, the two parties confirm item below, Party B’s working time will not exceed 40 hours per week in average, and Party A should make sure Party B take one day rest per week at least. A、甲方实行每天 小时工作制。具体作息时间,甲方安排如下:

(a) Party A take working hours per day system and the specific time arrangement will be as follows: working days per week, days off per week. B、甲方实行轮班制,安排乙方实行 班 运转工作制,每班工作 时间 小时。

(b) Party A takes shift system, arrange Party B to take shift operation system, every shift will be hours (二) 甲方安排乙方的 工作岗位, 经批准属于实行不定时工作制岗位, 双方依法执行不定时工作制规定。

(2) The position which is arranged by Party A to Party B, is not time-fixed with approval, both Parties should obey relevant regulation (三) 甲方安排乙方的 工作岗位,经批准属于实行综合计算工时制岗 位,双方依法执行综合计算工时工作制规定。

(3)The position , which is arranged by Party A to Party B, takes comprehensive working time calculation with approval, both Parties should obey relevant regulation. (四)甲方严格遵守法定的工作时间,控制加班加点,保证乙方的休息与身 心健康。甲方因工作需要必须安排乙方加班加点的,应与工会和乙方协商同意, 并依法给予乙方补休或支付加班加点工资。

(4) Party A should strictly follow statutory working hours;

control overtime to ensure the rest, physical and mental health of Party B. Due to the needs, Party A have to arrange overtime, Party A should negotiate with Party B and union for agreement, and provide payment or compensation leave according to law. (五)甲方依法为乙方安排带薪年休假,具体休假时间双方协商确定。

(5) Party A should arrange annual leave for Party B;

specific arrangement should be determined by mutual negotiation. 四、劳动报酬 Article 4 Wages 甲方应当每月至少一次以货币形式支付乙方工资, 不得克扣或者无故拖欠乙 方的工资。

乙方在法定工作时间或依法签订的劳动合同约定的工作时间内提供了 正常劳动,甲方向乙方支付的工资不得低于当地最低工资标准。

Party A should pay wages by currency at least once every month, and can’t deduct or owe the wage unreasonably. Party A should pay for Party B’s work which is finished in statutory or mutually agreed term, and the payment should not be lower than local bottom-line. (一)甲方承诺每月 日为发薪日。 4 (1)Party A commit is the day for payment every month (二)乙方在试用期内的工资为每月 元。

(3)Through negotiation, the payment to Party B will be executed as item below: A、 乙方的工资报酬按照甲方依法制定的规章制度中的内部工资分配办法确 定,根据乙方的工作岗位确定其每月工资为 元。

A. Party B’s wages should be decided by the internal distribution method of the regulations issued by Party A in accordance to law, depending on Party B’s position, the salary is RMB per month B、 甲方对乙方实行基本工资和绩效工资相结合的内部工资分配办法,乙方 的基本工资确定为每月 元,以后根据内部工资分配办法调整其工资;绩 效工资根据乙方的工作业绩、劳动成果和实际贡献按照内部分配办法考核确定。

B. Party A’s internal distribution method combine basic salary and performance merit. The basic salary of Party B is RMB, it will be adjusted according to internal distribution;

performance merit will be determined by Party B’s performance appraisal and contribution. C、 甲方实行计件工资制, 确定乙方的劳动定额应当是本单位同岗位百分之 九十以上劳动者在法定工作时间内能够完成的, 乙方在法定工作时间内按质完成 甲方定额,甲方按照约定的定额和计件单价,根据乙方的业绩,按时足额支付乙 方的工资报酬。

C. Party A takes task finishing system, the task should be able to be finished by 90 percent employee in the same position and in statutory working hours. When party B finish task qualitatively on time, depending on Party B’s performance, Party A should pay enough on time in accordance to agreed amount and price. D、其他形式 D. Other forms (四)甲方根据企业经营效益、当地政府公布的工资指导线、工资指导价位 或本单位工资集体合同规定,每年合理提高乙方工资。

(4) Party A will increase Party B’s salary reasonably, according to the profit, wage direction published by local government or collective contract. (五)乙方加班加点的工资,按不低于本条第(三)项约定的工资标准为基 数计算。

(5) The standard to calculate Party B’s overtime wage should be not lower than the one in paragraph (3) of this article. (六)乙方依法享有带薪假期(如:婚假、丧假、年休假等)期间的工资。

(6)Party B has paid leaves (such as: marriage leave, bereavement leave, annual leave, home leave etc.) (七)甲方应按国家和地方有关规定为乙方缴存住房公积金。

(7) Party A should pay housing provident for Party B according the national or local regulations. 五、社会保险 Article 5 Social Insurance (一)双方依法参加社会保险,按时足额缴纳各项社会保险费,其中依法应 5 由乙方缴纳的部分,由甲方从乙方工资报酬中代扣代缴。

(1)Both Parties should join social security system according to law completely and on time, Party A should deduct Party B’s share from its wage and paid it to the insurance agency. (二)甲方应当依法为乙方缴纳各项社会保险费,并每年向职工公布本单位 全年社会保险费缴纳情况,接受职工监督。

(2)Party A should pay social insurance for Party B according to law, and publish the detail of payment for social insurance, accept the supervision of employees. (三)乙方发生工伤事故或患职业病的,甲方应负责及时救治,或提供可能 的帮助,并在规定时间内,向劳动保障行政部门提出工伤认定申请,为乙方依法 办理劳动能力鉴定,并为乙方享受工伤保险待遇履行必要的义务。

(3)When Party B gets work-related injury or occupational disease, Party A should provide rescue timely as possible, and apply for confirmation to labor administrative department, take working ability identification for Party B, and fulfill necessary obligation. 六、劳动保护、劳动条件和职业危害防护 Article 6 Labor Protection, Working Condition and Protection against Occupational Hazard (一) 甲方对可能产生职业病危害的岗位,应当向乙方履行如实告知的义务, 并对乙方进行劳动安全卫生教育,防止劳动过程中的伤亡事故,减少职业危害。

(1)Party A is obliged to inform Party B the truth of any possible occupational hazard, and should provide security guidance or safety instruction to prevent accident and reduce damage. (二)甲方必须为乙方提供符合国家规定的劳动安全卫生条件和必要的劳动 防护用品, 安排乙方从事接触职业病危害作业的,应定期为乙方进行职业健康检 查,并在乙方离岗前进行职业健康检查。

(2) Party A is obliged to provide necessary security and protection equipments which meet the requirements of government. Party A should provide regular health examinations and additional one before dismiss or position change, if it arranges Party B to take hazardous positions (三)因 乙 方 从 事 的 工 作 岗 位 有 职 业 危 害 可 能 ,在 甲 方 的 监 督 下 ,乙 方须采取以下防护措施:

,乙 方 在劳动过程 中必须严格遵守安全操作规程。乙方对甲方管理人员违章指挥、强令冒险作业, 有权拒绝执行。

(3)Because of the possible hazard of Party B’s position, Party B needs to take following measures: under Party A’s supervision, and should follow the safety regulation strictly. Party B has the right to reject irregular command and forcing dangerous operation. (四)甲方按照国家关于女职工、未成年工的特殊保护规定,对乙方提供保 护。

(4) Party A provides special protection for female and underage stuffs, in accordance to the state regulations. (五)乙方患病或非因工负伤的,甲方按照国家关于医疗期的规定执行。

(5) Party A should follow the state regulation of medical treatment period when 6 Party B is sick or injured 七、双方协商一致,约定下列 条款 Article 7 Both parties confirm the following item through negotiation A、因乙方工作涉及甲方商业秘密和与知识产权相关的保密事项,甲方可以 事前与乙方依法协商约定保守商业秘密或竞业限制的事项, 并签订保守商业秘密 协议或竞业限制协议,作为本合同的附件。

(a)Party A can make agreement legally with Party B about business secrets and non-competition if Party B’s position involves business secrets and intellectual property. The agreement can be signed as annex to the contract. B、由甲方出资对乙方进行专业技术培训,并要求乙方履行服务期的,应当 事前征得乙方同意,并签订协议,明确双方权利义务,协议作为本合同的附件。

(b)Agreements should be reached and signed to specify the rights and obligations of each side if Party A paid for professional training of Party B and ask for service period. C、甲方同意为乙方办理补充养老保险(企业年金)和补充医疗保险,具体 标准为:

(e) Other agreements: 八、劳动争议处理 Article 8 Labor disputes (一)甲乙双方因履行本合同发生劳动争议,可以协商解决。不愿协商或者 协商不成的,可以向本单位劳动争议调解委员会申请调解;调解不成的,可以向 劳动争议仲裁委员会申请仲裁。

甲乙双方也可以直接向劳动争议仲裁委员会申请 仲裁。

提出仲裁要求的一方应当自劳动争议发生之日起法定时效内向劳动争议仲 裁委员会提出书面申请。

对仲裁裁决不服且符合起诉条件的,可以自收到仲裁裁 决书之日起十五日内向人民法院提起诉讼。

(1) The labor disputes arising from the fulfillment of the contract can be solved through mutual negotiation. Both parties can apply for mediation to company’s labor dispute mediation committee if unwilling to or fail to negotiate. When mediation fails, both parties can apply for arbitration to Labor Arbitration Committee. Arbitration can also be directly applied. The party which applies for arbitration should deliver application to Arbitration Committee in statutory time limit. If the arbitration is dissatisfying and the conditions for prosecution can be met, it shall be litigated to the People’s Court in 15 days after receiving the arbitration. (二)甲方违反劳动保障法律、法规和规章,损害乙方合法权益的,乙方有 7 权向劳动保障行政部门和有关部门投诉。

(2)Party B has the right to complain to labor administrative or relevant department if Party A violates law, regulations and harm Party B’s legal rights. 九、其他事项 Article 9 Others (一)劳动合同期内,乙方户籍所在地、实际居住地、联系方式等发生变化 的,应当及时告知甲方。

(1)Party B should inform Party A on time if there is any change of relevant information such as address, contact methods and etc. (二) 本合同未尽事宜,按国家、省和市有关规定执行,没有规定的,通过 双方平等协商解决。

(2) Any provisions which are not included should be executed in accordance to national, provincial and municipal regulations. Equal negotiation shall be taken if there is no relevant regulation. (三)本合同不得涂改。

(3) The contract can not be altered (四)本合同如需同时用中文、外文书写,内容不一致的,以中文文本为准。

(4) The contract will be written in Chinese and other languages if necessary. Chinese version will be decisive if there is any discrepancy. (五)本合同一式两份,甲乙双方各执一份。
